Terms of Service
Version 3 · Last updated 16 October 2026
1. Operator, scope and acceptance
ROVENDIA is a product of NEXORA Technologies Limited, referred to here as ROVENDIA, we or us. These Terms govern this information website, its enquiry and waiting list forms, and access to product demonstrations. By actively accepting these Terms in a form, you agree to them. Our Privacy Policy explains data handling. Agreement to these Terms does not give us unlimited permission to use personal information.
2. Eligibility and authority
You must be at least 18, or the age required to enter a binding agreement where you live, to submit a business enquiry or join the waiting list. If you act for an organisation, you confirm that you have authority to provide its details. Do not submit another person’s information without authority.
3. Development status and separate service contracts
ROVENDIA is in development. The linked application is a demonstration using sample orders, transactions and conversations. The website does not currently book real deliveries or process payments. A waiting list entry or enquiry is not a promise of launch, availability, pricing, employment or acceptance as a partner. Live delivery, rider and company subscription services will require their own applicable agreements before activation.
4. Forms, electronic agreement and communication
Provide accurate, relevant information and check it before preparing an enquiry. Required agreement boxes are not selected for you. Acceptance wording, policy version, time and the separate launch notification choice are saved with the submitted form. The live forms submit your details over HTTPS to the website database after server validation. A success message confirms the saved submission; it does not confirm a delivery or activate email or SMS notifications. Separate optional permission is used for launch updates; refusing that permission does not prevent an enquiry. When a live form is enabled, the confirmation and updated Privacy Policy will explain the collection and recordkeeping.
5. Acceptable use
You must not submit fraudulent, unlawful, threatening or abusive material; impersonate others; introduce malicious code; bypass access controls; interfere with availability; or attempt to obtain confidential data. Do not send passwords, payment card details, medical records, identity documents or other sensitive material through these general forms. We may restrict misuse where reasonably necessary, subject to applicable law.
6. Content and intellectual property
Branding, designs and website content are protected by applicable intellectual property laws. You may browse and share links for legitimate purposes, but may not misrepresent affiliation or copy protected assets for commercial use without permission. Campaign images illustrate the brand and do not establish ownership of an operating fleet or identify actual staff. Information you submit remains yours; any permitted use is limited to responding to your request and other disclosed, lawful purposes.
7. External providers and links
WhatsApp and other external services operate under their own terms and privacy policies. We do not control their availability or all their processing. A link is not a guarantee or endorsement of third party content. Future company payment gateways and delivery providers will be identified in the relevant live transaction; this website does not currently collect delivery payments.
8. Informational use and professional reliance
Website content and responses to general enquiries provide information about the planned logistics platform. They do not constitute medical, legal, financial, tax or other regulated professional advice. Submitting a form does not establish a professional advisory relationship, an employment relationship or a delivery contract. Obtain qualified advice where your situation requires it.
9. Warranty disclaimer, as is and as available
To the extent permitted by applicable law, this website and its demonstrations are provided AS IS and AS AVAILABLE. We do not warrant uninterrupted access, complete accuracy, error free operation, compatibility with every device or absolute security. Estimates, examples and planned features may change. This disclaimer does not waive mandatory service standards, security duties or any warranty or remedy that the law does not allow us to exclude.
10. Limitation of liability
To the fullest extent permitted by applicable law, neither party is liable under these website Terms for indirect or consequential loss, lost profits, lost opportunities or loss arising solely from reliance on sample demonstration data. Subject to the exceptions below, ROVENDIA’s aggregate liability arising from use of this information website is limited to the greater of NGN 10,000 or the amount you paid ROVENDIA specifically for the website service giving rise to the claim in the preceding 12 months. This is not a cap on liability that applicable law prohibits limiting, including fraud, wilful misconduct, gross negligence, death or personal injury where protected by law, mandatory consumer remedies or non-excludable data protection liabilities. It does not cap a regulator’s powers. Separate live service terms govern actual delivery transactions.
11. Informal dispute resolution
Contact us on WhatsApp at +234 815 240 3552 with a description of the issue and the outcome you seek. Both parties should attempt good faith resolution for 30 days after receipt. This step does not stop urgent protective relief, a regulatory complaint, a limitation deadline or another procedure that applicable law requires.
12. Arbitration and individual claims
To the extent legally permitted and subject to your opt out and the exceptions below, disputes arising under these website Terms that remain unresolved after the informal process will be resolved by binding arbitration under Nigeria’s Arbitration and Mediation Act 2023. The seat is Lagos, Nigeria, the language is English, and there will be one independent arbitrator agreed by the parties or appointed through the Act’s applicable appointment procedure if they cannot agree. Participation may be remote by agreement. Costs follow applicable law and the tribunal’s orders; this clause does not require a consumer to bear costs or burdens prohibited by law. Either party may use an eligible small claims procedure, seek urgent interim relief, report to a regulator or pursue matters that cannot lawfully be arbitrated.
13. Class action waiver, opt out and statutory rights
Where enforceable, covered claims will proceed individually rather than as a class, collective or representative action, and an arbitrator may not combine unrelated claims without all parties’ agreement. This does not waive non-waivable collective remedies, representative rights, public remedies or regulatory complaints. You may opt out of arbitration and the individual action requirement within 30 days of first accepting these Terms by sending your name, contact details and a clear opt out statement to +234 815 240 3552 on WhatsApp. Opting out does not prevent ordinary website use. If a waiver is unenforceable for a particular claim, it will not bar that claim; a competent court will determine the appropriate forum under applicable law.
14. Governing law and preserved rights
These website Terms are governed by Nigerian law, subject to any mandatory protections that apply where you live. Where arbitration does not apply, disputes may be brought before a court with lawful jurisdiction. Nothing requires you to give up a right, remedy or forum that cannot validly be waived.
15. Changes, severability and contact
We may change the website or these Terms prospectively. We will identify the applicable version and seek a fresh agreement where material changes require it. If a provision is invalid, the remainder continues only insofar as lawful and workable. Failure to enforce a term is not a permanent waiver. For questions, privacy requests or dispute notices, contact ROVENDIA on WhatsApp at 08152403552 or +234 815 240 3552.
